Terms of Service

Please read these Terms carefully. By using CO-SENDER or signing up for an account, you’re agreeing to these Terms. This is a legal agreement.

We’ll start with the basics, including a few definitions that should help you understand this agreement. CO-SENDER (or the “Service”) is an email, SMS and other social channels services offered through the URL app.co-sender.com (“Website”) that allows you to create, send, and manage messages (each message from each channel is called a “Message”) to individual recipients. CO-SENDER is owned and operated by Addendum Group Inc., 12130 Millennium Dr, Los Angeles, CA, 90094 USA (“CO-SENDER,” “we,” or “us”). As a customer of the Service or a representative of an entity that’s a customer of the Service, you're a “Member” according to this agreement (or “you”).

These Terms of Service (“Terms,” including our Privacy Policy, Acceptable Use Policy, API Guidelines, and Brand Guidelines) define the terms and conditions under which you’re allowed to use CO-SENDER and how we’ll treat your account while you’re a Member. Service Level Agreement

  1. Documentation
    You agree to comply with the CO-SENDER documentation found at: https://help.co-sender.com and agree that we may establish new procedures for your use of the Services as we deem necessary for the optimal performance of the Services.

  2. Delivery & Filtering
    We will use commercially reasonable efforts to deliver your messages, but we do not guarantee delivery. Third party filtering services and other policies of recipient message services may prevent successful delivery of your messages. While the CO-SENDER Services will reattempt to deliver message according to our policies, it does not store outbound messages. You acknowledge that the limitations of the filtering service will likely result in the capture of some legitimate message and the failure to capture some unwanted message. You hereby release CO-SENDER and its employees, agents, affiliates, and third party suppliers from any liability for damages arising from the failure of the CO-SENDER Service’s filtering services.

  3. Message Size Limitations
    An individual email message may not exceed the per-message size limit (including attachments) of 5MB. One SMS can contain up to 160 characters (or up to 70 if special characters are used). Large content messages can be sent using multiple messages, affecting the count of SMS messages sent to the recipient.

  4. Content Privacy
    You acknowledge and understand that CO-SENDER Services include the transmission of unencrypted message in plain text over the public Internet. You are responsible for encrypting any sensitive data you use in conjunction with the CO-SENDER Services.

  5. Routing Data
    Your messages and other items sent or received will include message routing data. You agree that we may view and use this data for our operational purposes.

ACCOUNT

  1. Eligibility
    To use CO-SENDER, you must:
    a) Be able to enter into contracts;
    b) Complete the registration process;
    c) Agree to the Terms;
    d) Provide true, complete, and up to date contact information.
    You may not use CO-SENDER to send illegal content and must comply with Anti-spam laws.

  2. Term
    The Term begins when you sign up for CO-SENDER and continues as long as you use the Service.

  3. Your data
    We collect and store information related to your use of the Services. We use the information to provide the Services to you, including for account maintenance and support.

  4. Closing Your Account
    You can easily cancel your subscription at any time. If we terminate your account without cause, we will refund a prorated portion of your monthly prepayment.

  5. Changes
    We may change any of the Terms by posting revised Terms on our Website and/or by emailing you. Unless you terminate your account within ten (10) days, the new Terms will be effective immediately.

  6. Account and Password
    You’re responsible for keeping your account name and password confidential. Notify us of any unauthorized use of your accounts.

  7. Account Disputes
    We don’t arbitrate disputes over who owns an account. We decide who owns an account based on content in that account.

  8. Support services
    We provide on-line technical support in respect of the Services at support@co-sender.com.

PAYMENT

  1. Monthly Plans
    Our Monthly charged plans may be changed from time to time. Payments are due for one month in advance.

  2. Pay for Add-ons
    You may buy Add-ons to use our Services, as explained on the pricing page of our Website.

  3. Credit Cards or other Payments methods
    You’ll provide valid credit card information as long as you’re a Member.

  4. Refunds
    We’ll give you a refund for a prepaid period if we stop providing our Services for reasons not laid out in these Terms.

  5. Changes
    We may change our fees at any time by posting a new pricing structure to our Website.

  6. Currency
    All financial reports are in U.S. Dollars.

RIGHTS

  1. Proprietary Rights Owned by Us
    You shall respect our proprietary rights in the Website and the software used.

  2. Proprietary Rights Owned by You
    You retain ownership of materials uploaded to the Service, but we may use or disclose them as described in these Terms.

  3. Right to Review Email Campaigns
    We may view, copy, and distribute content from your Messages and account to create algorithms and tools to help spot problem accounts.

RULES AND ABUSE

  1. General Rules
    You agree not to post content that is unlawful, infringing, defamatory, obscene, or otherwise objectionable.

  2. End User data and Data Protection
    You shall comply with all applicable data protection laws when processing Personal Data.

  3. Reporting Abuse
    Please notify us immediately if anyone is violating any of these Terms.

  4. Bandwidth Abuse/Throttling
    You may only use our bandwidth for your CO-SENDER messages.

  5. Compliance with Laws
    You represent and warrant that your use of CO-SENDER will comply with all applicable laws and regulations.

  6. Modifications to the service
    CO-SENDER reserves the right to modify the features of Services from time to time.

LIABILITY

  1. Limitation on Liability
    To the maximum extent permitted by law, you assume full responsibility for any loss from your use of the Website and the Services.

  2. No Warranties
    We provide the material as is, without any warranties of any kind.

  3. Indemnity
    You agree to indemnify us for any losses resulting from claims not allowed under these Terms.

  4. Attorney Fees
    If we prevail in an action against you claiming breach of these Terms, we’re entitled to recover reasonable attorney fees.

  5. Liquidated Damages
    In some cases, breaches of Terms could result in pre-estimated damages.

  6. Equitable Relief
    We may seek injunctive relief for violations of these Terms.

  7. Subpoena Fees
    We may charge you for costs incurred in responding to subpoenas.

  8. Disclaimers
    We aren’t responsible for the behavior of any advertisers or linked websites.

FINE PRINT

  1. Notice to U.S. Government End Users
    The Software and Website are licensed to U.S. Government end users.

  2. Assignments
    You may not assign your rights under this agreement.

  3. Choice of Law
    The State of California laws will apply to any dispute related to these Terms.

  4. Amendments and Waiver
    Changes to these Terms won’t be effective until posted on the Website.

  5. No Changes in Terms at Request of Member
    We can't change these Terms for any Member or group.

  6. Further Actions
    You’ll provide documents and take actions necessary to meet your obligations.

  7. Notification of Security Breach
    We’ll notify you of any breach that may affect you.

  8. Notices
    Notices will be effective when sent to the last email or physical address you provided.

  9. Entire Agreement
    These Terms and other incorporated documents make up the entire agreement.
